Please read these Terms of Use (“Agreement”) carefully before using the Pro Stylez Entertainment website or engaging our services. By accessing our website at prostylezentertainment.com or ProStylezTools.com, submitting an inquiry, signing a service contract, or making a payment, you agree to be bound by the terms and conditions set forth below.
If you do not agree to these terms, please do not use our website or services.
1. About Pro Stylez Entertainment
Pro Stylez Entertainment, LLC (“Company,” “we,” “us,” or “our”) is a professional event entertainment company incorporated in New York State, with its principal place of business at 5 Southside Drive, Suite 11-168, Clifton Park, NY 12065. We provide DJ, MC, karaoke hosting, trivia hosting, photo booth, outdoor movie, lighting, and related entertainment services for weddings, corporate events, private parties, school events, outdoor events, and nightlife venues throughout New York, New Jersey, Pennsylvania, Massachusetts, and surrounding states.
2. Website Use
2.1 Acceptable Use
You agree to use our websites — prostylezentertainment.com and ProStylezTools.com (our client portal) — for lawful purposes only and in a manner consistent with all applicable federal, state, and local laws and regulations. You may not use our websites to:
- Engage in any fraudulent, deceptive, or harmful activity
- Transmit spam, malware, or any harmful code
- Attempt to gain unauthorized access to any portion of our websites or systems
- Collect or harvest any personally identifiable information from our websites
- Impersonate any person, business, or entity
2.2 User Accounts and Client Portal
Our client portal at ProStylezTools.com is powered by DJ Event Planner (DJEP) and provides clients with access to their event details, contracts, planning forms, and invoices. If you create an account through our client portal or WooCommerce shop, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at info@prostylezentertainment.com if you suspect any unauthorized use of your account.
2.3 Intellectual Property
All content on our websites — including text, graphics, images, logos, audio, video, blog posts, guides, templates, and downloadable resources — is the property of Pro Stylez Entertainment, LLC and is protected by United States copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on our websites without our express written permission. Limited personal, non-commercial use (such as sharing a link to a blog post) is permitted provided you do not alter the content and provide attribution to Pro Stylez Entertainment.
3. Event Services and Booking Terms
These terms apply to all entertainment services booked through Pro Stylez Entertainment, whether initiated through our website, client portal, phone, email, or in person.
3.1 Governing Service Agreement
All bookings are governed by a separate written DJ and Event Services Contract (“Service Agreement”) signed by both parties through our client portal. The Service Agreement and its Order Confirmation constitute the entire agreement between the parties for your specific event and supersede all prior or contemporaneous understandings, whether written or oral. In the event of any conflict between these Terms of Use and a signed Service Agreement, the signed Service Agreement shall control.
3.2 Booking and Deposit
Your event date is not confirmed or held until a signed Service Agreement and the required non-refundable deposit are received by Pro Stylez Entertainment. Deposits are due within 14 days of the date of the Service Agreement. The remaining balance is due in full no later than two weeks prior to the event date.
3.3 Cancellation by Client
If a Service Agreement is terminated or services are canceled by the client in writing at least 60 calendar days before the event, the client will be issued a refund of all amounts paid less the non-refundable deposit. In all other cases, the client is obligated to make full payment of the total amount due under the Service Agreement, regardless of the circumstances surrounding the cancellation or termination.
Specific cancellation terms for your event are set forth in your individual signed Service Agreement, which shall govern in all cases.
3.4 Late Payments
Invoiced amounts are due upon receipt. If payment is not received within 5 calendar days after becoming due, a late fee of $100 may be applied. If payment is more than 10 calendar days late, a late fee of $250 may apply. Pro Stylez Entertainment reserves the right to suspend services for non-payment without obligation to secure replacement entertainment.
3.5 Rescheduling
We will make reasonable efforts to accommodate rescheduled events, subject to availability. Rescheduling requests must be submitted in writing. If we cannot accommodate your new date, standard cancellation terms apply.
3.6 Travel
No travel fees apply for events within a 50-mile radius of 5 Southside Drive, Clifton Park, NY 12065. For events more than 50 miles from this address, travel fees are $50.00 per hour of travel time each way, as specified in your Service Agreement.
3.7 Client Responsibilities
You agree to:
- Contact your venue to confirm DJ/team access at least two hours prior to the event start time
- Ensure appropriate space near electrical outlets is reserved for our equipment
- For outdoor events, provide reasonable protection for our team and equipment from sun and weather conditions
- Provide accurate venue information, including address, load-in access, and any site restrictions
- Obtain any required permits or public performance licenses for your event (including any required licensing for film or music performances)
- Respond promptly to any requests that are reasonably necessary for us to perform services
- Notify us of any known hazards, restrictions, or changes to the event plan as soon as possible
3.8 Changes to Services
If you wish to change the services described in your Service Agreement, submit your request to us in writing. We will provide a written estimate of any changes to fees or impact on services within a reasonable time. Any approved changes must be agreed upon in writing by both parties.
3.9 Equipment Malfunction and Service Delays
In the unlikely event that our team is delayed and the event does not start on time, or time is lost during the event due to an equipment malfunction, Pro Stylez Entertainment will refund the portion of fees paid prorated to the time lost. Our liability in all circumstances is limited to the performance fee paid; we are not responsible for indirect or consequential damages.
3.10 Force Majeure and Replacement
Pro Stylez Entertainment shall not be liable for failure to perform due to circumstances beyond our reasonable control, including illness, acts of God, flood, fire, earthquake, governmental actions, war, terrorist acts, civil unrest, national emergency, pandemic, labor disputes, or power outages.
In the unlikely event that we are unable to perform, we will make every effort to find a qualified replacement at the agreed-upon fees. Should we be unable to find a replacement, you will receive a full refund of all amounts paid.
3.11 Performer Assignment and Substitution
Pro Stylez Entertainment operates as a team. We reserve the right to assign or substitute qualified team members to fulfill your booking in the event of illness, emergency, or other unforeseen circumstance. We will notify you of any substitution as soon as practicable.
3.12 Overtime
When overtime hours are not negotiated in the Service Agreement, Pro Stylez Entertainment cannot guarantee availability to perform past the contracted end time. Any overtime must be agreed upon in writing and additional fees will apply.
4. Online Shop and Payments
4.1 Shop Transactions
Our website includes an online shop powered by WooCommerce. By making a purchase through our shop, you represent that you are authorized to use the payment method provided and that the information you submit is accurate.
4.2 Accepted Payment Methods
Pro Stylez Entertainment accepts payment via Stripe, PayPal, Venmo, check, and cash. All payments must be made in US dollars. Payment method availability may vary by transaction type and will be specified in your Service Agreement or at checkout.
4.3 Payment Processing
Payment processing is handled through third-party payment processors (Stripe, PayPal, Venmo). We do not store your full credit card or payment account information on our servers. All payment transactions are encrypted and processed in accordance with applicable security standards.
4.4 Taxes
You are responsible for all applicable taxes on amounts payable under your Service Agreement or shop purchase.
4.5 Refunds
Digital products (downloadable files, guides, and templates) are non-refundable once downloaded. Physical products and add-on services are subject to the refund terms specified at checkout or in your Service Agreement. 5. Blog Content and Downloadable Resources
5.1 Informational Purpose
Blog posts, pricing guides, planning templates, and other content published on our website are provided for general informational purposes only. While we make reasonable efforts to ensure accuracy, this content does not constitute professional legal, financial, or event planning advice. Pricing information represents general ranges and starting points only; actual pricing will be confirmed in your individual Service Agreement.
5.2 Lead Capture and Downloads
Some resources (such as our Wedding Timeline Template) are available in exchange for your name and email address. By submitting your information to download a resource, you agree to receive email communications from Pro Stylez Entertainment. You may unsubscribe at any time.
6. User-Submitted Content
If you submit reviews, testimonials, photos, or other content to us and grant permission for its use, you grant Pro Stylez Entertainment a non-exclusive, royalty-free, perpetual license to use, reproduce, and display that content for marketing and promotional purposes. We will not publish your content in a misleading context.
7. Confidential Information
All non-public and confidential information of Pro Stylez Entertainment — including pricing, marketing strategies, proprietary processes, and technology — is confidential and may not be disclosed or copied without our prior written consent. This obligation survives termination of any Service Agreement.
8. Third-Party Links and Services
Our websites may contain links to third-party websites, platforms, or services. We are not responsible for the content, privacy practices, or terms of service of any third-party website. Links do not constitute our endorsement of those sites.
9. Disclaimer of Warranties
Our websites and their content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not warrant that our websites will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the fullest extent permitted by New York law, Pro Stylez Entertainment, LLC and its members, officers, employees, agents, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our websites or services. Our aggregate liability for any claim arising under these Terms of Use or any Service Agreement shall not exceed the total amounts paid by you under the applicable Service Agreement.
11. Indemnification
You agree to indemnify, defend, and hold harmless Pro Stylez Entertainment, LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of our websites in violation of this Agreement, your breach of any Service Agreement, your provision of false or inaccurate information, or any third-party claims arising from your event.
12. Assignment
You may not assign any of your rights or obligations under any Service Agreement without our prior written consent. Any purported assignment without consent is null and void.
13. Governing Law and Jurisdiction
This Agreement and all Service Agreements shall be governed by and construed in accordance with the internal laws of the State of New York. Any legal suit, action, or proceeding arising out of or relating to this Agreement or any Service Agreement shall be instituted in the courts of the State of New York located in the Town of Clifton Park and County of Saratoga, and each party irrevocably submits to the exclusive jurisdiction of such courts.
14. Severability
If any term or provision of this Agreement is found to be invalid, illegal, or unenforceable, such finding shall not affect the validity or enforceability of any other term or provision of this Agreement.
15. Waiver
No waiver by Pro Stylez Entertainment of any provision of this Agreement is effective unless explicitly set forth in writing and signed by Pro Stylez Entertainment. No failure to exercise, or delay in exercising, any right or remedy shall constitute a waiver of that right or remedy.
16. Changes to These Terms
We reserve the right to update or modify these Terms of Use at any time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of our websites following the posting of changes constitutes your acceptance of those changes.
